Real Estate Partner Jerry Katz is the Chair of Glaser, Weil, Fink, Jacobs, Howard & Shapiro, LLP's Green Building Practice Group. He received his Bachelor of Science Degree from the University of California at Berkeley, Undergraduate School of Business, in 1980 and his Juris Doctorate, cum laude, from the University of California, Hastings College of the Law in 1983. Mr. Katz was admitted to the California State Bar in 1983.

During the past 26 years, Mr. Katz has represented a wide variety of clients, including publicly traded and privately held companies, institutional investors, developers, lenders, borrowers, joint venture partners, pension funds, REITs, retailers, management companies, media ventures, internet companies, entertainment companies, studio owners, technology companies and sports franchises. Mr. Katz has handled virtually every aspect of real estate transactions, including real estate acquisitions and dispositions, development, real estate secured and asset-based financing, loan workouts, tax-deferred exchanges, subdivisions, complex title insurance matters, and commercial leasing. In addition to his real estate experience, Mr. Katz has drafted and negotiated technology agreements, licensing agreements, distribution agreements, sponsorship/endorsement agreements, bundling agreements, and OEM agreements.

Mr. Katz combines his extensive legal background with a unique blend of top level business experience. He was recruited by a venture capital firm to serve as a key executive in a technology company, and has several years of experience as an executive in entertainment businesses. Mr. Katz uses his business background to provide both legal and practical business solutions to his clients.

Mr. Katz has been one of the lead attorneys representing MGM MIRAGE in all aspects of the development and construction of Project CityCenter, a $9 billion, 18 million square foot mixed-use development on the Las Vegas strip, that is reputed to be the largest privately funded development in the history of the United States. Project CityCenter includes the construction of three new hotels, including a 4,000 room luxury casino-hotel to be operated by MGM MIRAGE and two branded hotels to be operated by Mandarin Oriental and The Light Group, respectively. Project CityCenter also includes approximately 500,000 square feet of retail space, at least three condominium towers, a convention center and theater.

As one of the most prestigious projects under construction anywhere in the world, MGM MIRAGE has been able to entice some of the world's most prominent firms to work on the project. As a result, Mr. Katz has negotiated and drafted agreements with the leading construction, architecture and consulting firms, the world over. In addition to negotiating and drafting various complex agreements involved in the project, Mr. Katz is part of CityCenter's leadership team, providing valuable strategic feedback and input on a variety of topics, as well as being a member of the CityCenter Diversity Committee.

Mr. Katz has principal responsibility for legal work related to green building and LEED (Leadership in Energy and Environmental Design) matters, including CityCenter, the largest green building project in history. Mr. Katz is part of a select group of lawyers nationwide who have earned the distinguished LEED Accredited Professional credential. As LEED counsel he advises MGM MIRAGE on all aspects of LEED activities including: LEED design; relationships and communication with the U.S. Green Building Council; LEED related purchasing activities; LEED related conduct of the general contractor and over 600 subcontractors; LEED related transactions and insurance matters related to the LEED work of designers, architects of record and their LEED consultants; LEED accounting and documentations processes; LEED waste management and recycling issues; campus versus whole project LEED certification formats; risk analysis; retention and termination of LEED technical consultants; Division 1 drafting and development; LEED specification drafting; lease and sales agreements for LEED retail and other structures; and a wide range of other LEED related processes and substantive matters. Mr. Katz has also been involved in advising MGM MIRAGE on the revision of Nevada statutes dealing with sales/use tax and property tax abatements for LEED projects, as well as the associated regulations promulgated by the Nevada Office of Energy.

Mr. Katz has been interviewed by real estate industry publications and radio broadcasts and speaks frequently on topics related to the green building.

Mr. Katz resides in Manhattan Beach with his wife and two children.



Ryan D. Nowicki is an associate in Glaser, Weil, Fink, Jacobs, Howard & Shapiro, LLP's Tax Department, where his practice focuses on domestic and international tax planning, tax controversy, corporate reorganizations, complex business matters, and tax-exempt organization law.

In June 2009, Mr. Nowicki achieved the designation of being an Accredited Professional under the Leadership in Energy and Environmental Design (LEED) program administered by the U.S. Green Building Council. As a LEED AP, Mr. Nowicki provides clients with the necessary guidance to ensure that they obtain all of the governmental incentives and tax benefits available for undergoing environmentally-friendly real estate developments and renewable energy projects.

Prior to joining Glaser Weil, Mr. Nowicki was a member of the tax department at a major international law firm in Washington, D.C. and also served as a Legislation Counsel Extern for the Congressional Joint Committee on Taxation on Capitol Hill. While at the Joint Committee on Taxation, he provided technical and policy advice to Members of Congress and Congressional committees concerning legislative proposals aimed at protecting charitable organizations.

While attending Georgetown University Law Center, Mr. Nowicki was selected as one of six students in the U.S. to participate in an international tax conference in Paris, France with representatives from several nations of the European Union. Further, while attending the University of San Diego School of Law, he was a member of the Appellate Moot Court Board and served as an articles editor for the Journal of Contemporary Legal Issues.
Mr. Nowicki is licensed to practice in the State of California, the District of Columbia, and before the U.S. Tax Court.

In addition to his legal practice, Mr. Nowicki also serves on the board of a number of philanthropic organizations in the Los Angeles area.



Donald L. Correll is President & CEO of American Water, the largest investor-owned U.S. water and wastewater utility company. For more than 30 years, Mr. Correll has held leadership roles in the water industry and is known for developing a high- quality, customer-oriented culture in the companies he manages, resulting in outstanding service and improved stakeholder value.

Mr. Correll leads a team of more than 7,000 dedicated professionals who provide drinking water, wastewater and other related services to approximately 15 million people in 32 states and Ontario, Canada. He is responsible for developing the overall strategy and vision of American Water and directing its key business development initiatives.

Prior to joining American Water on April 17, 2006, Mr. Correll served as president and CEO of Pennichuck Corp., a New Hampshire-based water utility holding company. During his tenure, Pennichuck reported solid financial performance and growth in market value and customer service.

Mr. Correll spent 25 years with United Water Resources, a leading investor-owned water services company, where he served as chairman, president and CEO from 1991 through 2001. Under his direction, the company’s market capitalization increased from $400 million to $1.8 billion and its revenue base grew from $150 million to $500 million. He is also credited with expanding the United Water customer base from 1 million in two states to 7.5 million in 19 states.

Mr. Correll is currently the President of the National Association of Water Companies (NAWC), and serves on the boards of a variety of civic, professional and business organizations, including the U.S. Chamber of Commerce, the Environmental Financial Advisory Board of the U.S. Environmental Protection Agency and the National Association of Water Companies. In addition, he is a member of the board of directors of HealthSouth Corporation and New Jersey Resources.

Mr. Correll is a graduate of The Pennsylvania State University and New York University, where he earned a bachelor’s degree in accounting, and master’s in business administration in finance, respectively. He is also a certified public accountant in New York. He resides in Franklin Lakes, N.J., with his wife, Chris.

William H. Spence is Executive Vice President & Chief Operating Officer of PPL Corporation. He oversees the day-to-day operations of PPL’s generating and marketing operations, its electricity delivery businesses in Pennsylvania and outside the United States and its development functions and energy services activities. He also serves as a member of PPL’s Corporate Leadership Council, which sets the strategic direction for the company and its subsidiaries.

Spence joined PPL in 2006. Previously, he had 19 years of service with Pepco Holdings and its heritage companies, Delmarva Power and Conectiv. He joined Delmarva Power in 1987 in the company’s regulated gas business, where he held various management positions before being named vice president of trading for Delmarva Power in 1996. In that position, he helped to grow the trading operations from inception to more than $2 billion in revenues and integrated the merchant operations of Atlantic City Electric and Delmarva Power during the merger of the two companies.

Spence was named senior vice president of Conectiv in 2000, prior to the merger with Pepco, and eventually was named president of Pepco Holdings’ $3 billion competitive generation and retail marketing businesses.

Spence earned a bachelor’s degree in petroleum and natural gas engineering from Penn State University and a master’s degree in business administration from Bentley College in Waltham, Mass. He also is a graduate of the Executive Development Program at the University of Pennsylvania’s Wharton School. Spence is president of the board of directors of the Delaware Museum of Natural History. Bill Spence oversees the day-to-day operations of PPL’s generating, marketing, delivery and international operations and helps set the strategic direction for the company.
